Securities Litigation

Securities Litigation

Securities litigation is a complex area of the law. As an internationally recognized law firm, Shook, Hardy & Bacon, L.L.P. (SHB) has amassed years of experience serving the complex litigation needs of the securities industry. With a thorough knowledge of the investment community and its unique legal concerns, our Securities Litigation Practice represents issuers, their officers and their directors in class actions and individual suits brought by securities holders. In addition, we routinely handle securities litigation arising from extraordinary corporate events, such as control contests, internal and external investigations, and investment banking matters. Our securities litigation team also has experience representing both claimants and brokers/dealers in securities arbitrations and retail customer actions. We draw on the firm’s veteran trial lawyers, business law expertise and technical infrastructure to ensure we deliver consistent results in all areas of securities litigation.

Our securities litigation team works closely with our SHB Corporate Transactions Practice as we represent a diverse client base that includes multinational public companies and early-stage private firms. We help structure, negotiate and close mergers and acquisitions, joint ventures, and strategic alliances. The SHB Corporate Transactions Practice represents both issuers and underwriters involved with public offerings and private placements of securities. Recognizing the risks of rapidly changing markets, SHB attorneys use the firm’s significant resources to bring securities to market as promptly as possible. SHB also advises public companies on periodic reporting compliance, insider trader and other regulatory matters.

On behalf of public clients, we have acquired and sold companies; prepared registration statements under the securities laws; assisted in structuring and conducting “auctions” of businesses and divisions; formulated and implemented takeover defense strategies; and handled tender offers. This practice has acted as virtual general counsel when necessary to help clients achieve their long-term goals.

SHB believes one way to potentially avoid securities litigation is through education. By taking this preventive business planning approach with our clients, we address the practical issues facing business owners. We work hand in hand with experts from a wide variety of related areas, including buy-sell, non-compete and shareholder agreements; professional and general business corporations; limited liability companies; creditor protection planning; family business and succession planning; purchase or sale of business; employment agreements; limited partnerships; lines of credit; and other financial arrangements.
